TERMS AND CONDITIONS

GENERAL PROVISIONS

These Terms and Conditions (hereinafter – Terms) constitute an agreement between the seller, individual activity certificate No. 1525510 (hereinafter – Seller) and You, under which the Seller offers You the opportunity to purchase goods (hereinafter – Goods) and gift vouchers (hereinafter – Gift Vouchers) offered in the http://www.smaguszaislai.lt/ online store (hereinafter – E-shop).

You have the right to purchase in the E-shop only if, according to applicable laws, you can enter into a binding agreement with the Seller, and only if you comply with these Terms and applicable legal acts. If you are under 18 years old, you can only purchase in the E-shop with the consent of your parents or other legal representatives. By placing an order, you confirm that you are over 18 years old or have the consent of your other legal representatives.

PURCHASES IN THE E-SHOP

When you visit the E-shop and make a selection, a shopping cart is created based on that selection.

After forming the cart, you must enter the data necessary for the delivery of the selected Goods. Please ensure that the data you provide is correct and that the ordered Goods meet your needs. You can correct errors, if any, before confirming the order. The data you provide is processed for the purposes and according to the procedure specified in the Privacy Policy.

You agree that by placing an order in the E-shop, you undertake to pay the fee indicated in the order for the Goods. All taxes are included in the price of the Goods indicated in the E-shop and in the order, but the fee for the delivery of Goods is not included, which must be paid separately (unless otherwise stated in the E-shop). Prices in the E-shop and in the order are indicated in Euros.

You can pay for the Goods using the following methods: electronic banking, credit card, bank transfer, PayPal, to the courier upon delivery.

Payment must be made immediately after placing the order (except for payment upon delivery).

Once you confirm the order, the Seller receives all information about it. The order is considered placed from the moment the Seller receives it. In this case, it is also considered that an agreement has been concluded between You and the Seller. However, the Seller is obliged to execute the agreement only from the moment the Seller receives confirmation from the payment service provider about the payment for the Goods.

After placing an order, an email will be sent to your specified email address, containing the ordered Goods and the data you provided.

Upon receiving notification that the payment for the ordered Goods has been confirmed, the Seller undertakes to fulfill your order.

When payment upon delivery is chosen, the agreement with the Seller becomes binding, and the Seller undertakes to fulfill the order from the moment it is received.

This part of the Terms also applies to the purchase of Gift Vouchers.

CHARACTERISTICS AND QUALITY OF GOODS

The characteristics of the Goods are indicated in the E-shop next to the description of each Good. The Seller strives to ensure that the requirements of relevant legal acts are met and that the Goods can be used for their intended purpose.

By placing an order, you confirm that you are aware of this and understand that the Goods indicated in the E-shop may differ in color, shape or other parameters from the actual size, shapes and colors of the Goods due to the characteristics or settings of your monitor or other device. Such differences will not be considered defects of the Goods, except in cases where the discrepancies are caused by the actions of the Seller or third parties related to them.

The Seller undertakes to deliver Goods that comply with the information provided in the description of the Good in the E-shop. The Seller also undertakes to provide you with the assortment and quantity of Goods specified in the order, but is not responsible in cases where the assortment or quantity of delivered Goods is not accurate due to your incorrect data provided in the order placed with the Seller.

DELIVERY OF GOODS

When ordering Goods, you must choose the delivery method and specify the delivery address. Delivery is possible by: courier, registered mail, to a parcel locker.

Please note that the specified delivery times are preliminary. We always try to fulfill orders as quickly as possible, but sometimes preparation may take longer due to a large volume of orders or the workload of delivery service providers. The Seller always informs about the delivery status, please follow this information. Once the shipment has been dispatched, you can track it in the delivery service provider's system.

In cases where you notice upon receiving the Goods that the ordered Goods are not in the shipment, inform the Seller immediately.

The Goods are delivered packaged, considering their nature, to ensure that the Goods are suitable for their intended use.

EXCHANGE OR RETURN OF GOODS

Withdrawal from the contract within 14 days (applies only to consumers)

If you purchase in the E-shop as a consumer (i.e., a natural person acting for purposes unrelated to your business, trade, craft, or profession (consumer purposes)), you have the right to return Goods or Gift Vouchers purchased in the E-shop (as long as they have not been used) within 14 (fourteen) calendar days from the date of receipt. You can do this without stating a reason (i.e., by exercising your right to withdraw from the contract, which is granted to you by Lithuanian and European Union legal acts).

Please note that the E-shop contains Goods that fall under the exceptions provided in Article 6.228(10) section 2 of the Civil Code of the Republic of Lithuania, where consumers do not have the right to withdraw from the contract as discussed in the previous paragraph. Therefore, you cannot withdraw from the contract and return the following Goods without stating a reason: packaged goods, if they are unsuitable for return due to health protection or hygiene reasons after being unpacked (for example, cosmetics, underwear).

If you withdraw from the contract, the returned Good must be unused, with labels, in its original packaging, undamaged and not having lost its commercial appearance. We will consider this requirement met if you perform only those actions that are necessary to inspect the Good as you would in a physical store.

To exercise this right, you must notify the Seller by email no later than 14 (fourteen) calendar days from the date of receipt of the Good or Gift Voucher and attach proof of purchase. You can use the sample return notification form provided here.

If you decide to withdraw from the contract, you must immediately and in any case no later than 14 (fourteen) calendar days from the day you notified the Seller of the return by email, send the Goods back to the Seller at the address specified at the beginning of these Terms, and in the case of a Gift Voucher – irrevocably cancel the Gift Voucher and its data. The deadline is considered met if you sent the Goods before the expiry of the 14 (fourteen) day period. You must cover the costs of returning the Goods to the Seller.

If you withdraw from the contract, the Seller undertakes to refund the money paid for the Good and its delivery to your specified bank account no later than 14 (fourteen) calendar days from the day you notified the Seller of the return by email, but not earlier than the Seller receives the returned Good (unless the Seller, at its discretion, decides not to wait for the returned Good).

Wholesalers and other buyers who purchase in the E-shop not for consumer purposes do not have the right to withdraw from the contract, unless otherwise expressly agreed in writing with the Seller.

Goods of unsuitable quality

The Goods are subject to a statutory warranty provided for in the laws of the Republic of Lithuania, meaning that the Seller is responsible to the consumer for any non-conformity of the Goods with quality requirements at the moment of delivery of the Goods and appearing no later than within two years from the delivery of the Goods.

If a Good purchased in the E-shop is of unsuitable quality, you have the right, in the prescribed manner and within the prescribed terms, to request that the Seller free of charge rectify the defects of the Good or replace the unsuitable quality Good with a good quality Good, or in specified cases, request a reduction in price, or return the Good.

If you believe that a Good purchased in the E-shop is of unsuitable quality and you notice its defects, you must notify the Seller by email no later than two months from the discovery of the non-conformity, stating this and your preferred solution. When notifying about an unsuitable quality Good, provide a detailed description of where and how the defect appeared, attaching photos of the Good and the defect, and other information drawing attention to the defect. You can use the sample form for unsuitable quality goods provided here.

The buyer's rights related to unsuitable quality Goods are exercised in accordance with the procedure established in Articles 6.364(1)-6.364(3) of the Civil Code of the Republic of Lithuania.

GIFT VOUCHERS

Gift Vouchers are valid for the period specified therein. The recipient of the Gift Voucher must use the Gift Voucher in the E-shop, i.e., pay for the Goods offered in the E-shop with the Gift Voucher, within the period specified in the Gift Voucher. If the Gift Voucher is not used within the period specified therein, the specified period is not extended, the Gift Voucher becomes invalid, and the money paid for the Gift Voucher is not refunded.

INTELLECTUAL PROPERTY

Trademarks and other designations identifying Goods and Gift Vouchers belong to the Seller and/or other persons and are protected by legal acts. All intellectual property rights to Goods and Gift Vouchers and their individual parts also belong to the Seller and/or other persons.

The E-shop's personal trademarks and marks, domain name, the E-shop itself, and the website where it is hosted, as well as all their individual elements, including texts, photographs, drawings, and all material contained in the E-shop and on the website, any presentation, image, and design of the E-shop or website are intellectual property. You undertake not to copy, modify, or otherwise use these intellectual property objects without the separate written consent of the rights holder.

LIABILITY

The Seller's liability for the quality and delivery of Goods is determined by applicable legal acts.

You must provide the Seller with all and complete information requested. You are responsible for correctly specifying the delivery address of the Goods.

You are responsible for the security of your username, password, or other data allowing access to the E-shop. However, if you notice that someone is unauthorizedly using your username and password, contact the Seller immediately.

CHANGES AND TERMINATION

The Seller may change these Terms from time to time. The latest version of the Terms will always be visible and accessible in the E-shop. Before confirming the order, you must familiarize yourself with the version of the Terms valid at that time. Each order will be subject to the version of the Terms that was valid at the time of confirmation of such order.

The Seller shall have the right to cease (terminate) the operation of the E-shop at any time. Such termination will not affect the purchase-sale agreements valid at that time.

OTHER CONDITIONS

These Terms and any purchase-sale agreement are concluded and shall be interpreted in accordance with the laws of the Republic of Lithuania.

Any disputes, disagreements, or claims arising from or related to these Terms or a separate purchase-sale agreement, as well as questions of their violation, termination, or validity, shall be resolved in the courts of the Republic of Lithuania in accordance with the procedure established by the Republic of Lithuania. The non-judicial consumer dispute resolution body competent to resolve consumer disputes arising from these Terms is the State Consumer Rights Protection Authority (address: Vilniaus g. 25, LT-01402 Vilnius, tel. (8 5) 262 6751, email tarnyba@vvtat.lt; website address: http://www.vvtat.lt), a complaint can also be submitted via the electronic dispute resolution platform: http://ec.europa.eu/odr/.

All warnings or other notifications related to purchases in the E-shop, these Terms, will be provided by email (to the Seller – at the email address at the beginning of the Terms, to You – at the email address provided during the order).

If any of these Terms are or become wholly or partially invalid, this will not affect the validity of the remaining provisions.
